MEMORANDUM OF AGREEMENT made the twentyeight day of June

One thousand

nine hundred and fifteen BETWEEN DOUGLAS WILLIAM MUNTON of Victoria in the Colony of Hongkong Gentleman (who and whose executors and administrators are hereinafter called "Mr. Munton") of the one part and SIEMENS CHINA ELECTRICAL ENGINEERING COMPANY (HONGKONG) LIMITED (which Company is hereinafter called "the Company") of the other part.

1. Mr. Munton shall sell and the Company shall purchase all and singular the stock-in-trade goods chattels monies credite debts notes and things in action and the undertaking business and goodwill thereof in Hongkong South China the Provinces of Fukien, Kwang Tung, Kwang Si, Yunan in the Republic of China and in Indo China formerly carried on by Siemens China Company of Shanghai in the Republic of China (whię Company formerly carried on business under the style or firm name of Siemens China Electrical Engineering Company Shanghai with the full benefit of all contracts and agreements and of all securities in respect of the said things in action to which the said Siemens China Company is entitled and all the personal property of the said Siemens China Company in

Hongkong.

The stock intended to be transferred under this agreement is set out in a list signed by Franz Emil Ehrhardt and Oswald Muller on behalf of Siemens China Company Shanghai and by Mr. Munton and marked "A" in the Schedule to an Agreement dated Ninth April One thousand nine hundred and fifteen a Notarially certified copy of which is annexed hereto.
